This policy forms part of the CodeElveza marketplace agreement. Mandatory rights under applicable law are not excluded.
Effective date: 2026-07-30 Last reviewed: 2026-07-30
This Seller Agreement applies when you apply for, obtain or use a seller account on CodeElveza. It supplements the Terms and Conditions and becomes binding when you submit a seller application or list a product.
1. Seller eligibility and verification
- You must satisfy the general eligibility rules and provide accurate personal, business, tax, identity and payout information.
- You authorise CodeElveza and its service providers to carry out proportionate identity, fraud, sanctions, ownership and business-verification checks.
- Seller approval is discretionary and may be reviewed, suspended or withdrawn when information changes or risk increases.
2. Independent seller relationship
You act as an independent seller and licensor, not as an employee, agent, partner or representative of CodeElveza. You are responsible for your products, business registrations, taxes, customer obligations and legal compliance. CodeElveza provides marketplace, payment, licensing, delivery and moderation services.
3. Ownership and authority
- You must own the product or have written rights sufficient to market, license, modify where represented, distribute and support it.
- You must identify third-party and open-source components and comply with all attribution, source-disclosure and licence obligations.
- You must not upload pirated, nulled, leaked, copied or unlawfully derived code, or content that infringes copyright, patent, trademark, privacy, confidentiality or contractual rights.
- You must retain evidence of ownership and licences and provide it promptly when reasonably requested.
4. Product quality and listing standards
- Products must materially perform as described and be reasonably secure for their stated purpose.
- Descriptions, screenshots, demos, version numbers, dependencies, compatibility, limitations, installation steps, documentation and support terms must be accurate and current.
- Source packages must not contain malware, credential theft, hidden advertising, unauthorised telemetry, destructive code, undisclosed obfuscation or mechanisms intended to bypass third-party licences.
- You must promptly correct critical vulnerabilities, false claims and broken delivery files, and notify affected buyers where risk is material.
5. Review and publication
CodeElveza may inspect, test, scan, reject, request changes, approve, unpublish or remove a product. Review is a marketplace quality-control measure and does not transfer your responsibility or create a warranty by CodeElveza. You must not evade review by changing files, links or behaviour after approval.
6. Pricing, licences and promotions
- You choose permitted prices and licence options subject to platform minimums, taxes and promotional rules.
- A buyer receives the licence selected at checkout. You may not impose hidden terms that conflict with the product page, order record or Software Licence Policy.
- Any discount, bundle or promotion must be genuine, clear and not misleading.
7. Commission and marketplace fees
CodeElveza deducts the marketplace commission recorded at order time, currently configured at 20% unless a separate written rate applies. Payment-provider charges, withholding tax, refunds, chargebacks, currency conversion and other disclosed deductions may also affect net earnings. Commission changes apply prospectively unless required by law or agreed otherwise.
8. Earnings, holds and payouts
- Earnings become available after the configured holding period and only after payment verification.
- CodeElveza may reserve or offset amounts reasonably connected to refunds, disputes, chargebacks, fraud, taxes, penalties, duplicate credits or policy breaches.
- Payouts are made to verified details and may require a minimum balance, identity checks and a valid transaction reference.
- You are responsible for the accuracy of payout information and for taxes arising from seller income.
9. Support, updates and continuity
You must provide the support and update commitment stated on the product page and follow the Product Support Policy. You must communicate known compatibility or security issues, maintain reasonable access to documentation, and avoid abandoning paid buyers without notice. Where a product is discontinued, you should provide a reasonable transition, final secure version or other remedy where practicable.
10. Refunds, disputes and chargebacks
You authorise CodeElveza to investigate buyer complaints and decide marketplace remedies under the Refund Policy. Approved refunds or chargebacks may revoke licences and debit seller earnings. You must provide requested evidence promptly and must not pressure buyers to withdraw legitimate complaints or reviews.
11. Customer data and confidentiality
Use buyer data only to fulfil the transaction, provide authorised support, comply with law or protect legitimate rights. Do not add buyers to marketing lists without valid permission, sell their data, request unnecessary credentials or disclose confidential information. Apply reasonable security to support records and delete data when no longer needed.
12. Reviews and marketplace integrity
You must not purchase, exchange, coerce, fabricate or manipulate ratings, reviews, sales, downloads or search ranking. You may respond professionally to reviews and report content that violates policy.
13. Intellectual-property complaints
You must cooperate with the Copyright and Takedown Policy. CodeElveza may temporarily restrict a disputed product, earnings or downloads while reviewing evidence. Repeated or serious infringement may result in termination and preservation of relevant records.
14. Suspension and termination
CodeElveza may suspend products, seller privileges, payouts or accounts for material breach, risk, fraud, unsafe software, legal demands or unresolved disputes. Where appropriate, you may appeal with relevant evidence. On termination, licences already validly granted generally remain in force unless revoked for refund, fraud or infringement.
15. Seller warranties and indemnity
You warrant that your products and conduct comply with this Agreement, the law and all stated specifications. To the extent permitted by law, you will indemnify CodeElveza against third-party claims arising from your product, infringement, unlawful conduct, taxes or material breach, except to the extent caused by CodeElveza.
16. Contact
Seller questions and formal notices should be sent to legal@codeelveza.com.
