This policy forms part of the CodeElveza marketplace agreement. Mandatory rights under applicable law are not excluded.
Effective date: 2026-07-30 Last reviewed: 2026-07-30
These Terms and Conditions form a binding agreement between you and CodeElveza, the operator of CodeElveza (“CodeElveza”, “we”, “us” or “our”). They apply whenever you visit, register, buy, sell, download, review, support or otherwise use the marketplace.
1. Acceptance and related policies
By using CodeElveza, you agree to these Terms and all policies incorporated by reference, including the Buyer Agreement, Seller Agreement, Acceptable Use Policy, Software Licence Policy, Refund Policy, Privacy Policy, Cookie Notice, Product Support Policy and Copyright and Takedown Policy. Where a mandatory law gives you stronger rights, that law prevails.
2. Eligibility and authority
- You must be at least 18 years old and legally capable of entering a contract.
- When acting for a company or organisation, you confirm that you have authority to bind it.
- You must not use CodeElveza where marketplace access or the relevant transaction is unlawful for you.
3. Accounts and security
- Provide accurate, current and complete registration, billing, tax and payout information.
- Keep login credentials, purchase codes, API credentials and download links confidential.
- Notify us promptly through legal@codeelveza.com if you suspect unauthorised access or account misuse.
- You are responsible for activity conducted through your account unless caused by our failure to apply reasonable security.
4. Role of the marketplace
CodeElveza provides technology for independent software sellers to list and license digital products to buyers. Unless a product page expressly states otherwise, the seller—not CodeElveza—is the creator, licensor and primary provider of the product and its product support. CodeElveza may review listings, process payments, issue purchase records, enforce policies, facilitate disputes and remove unsafe or unlawful content.
5. Products, information and availability
- Sellers must provide accurate descriptions, compatibility information, screenshots, documentation, prices, licence options and support terms.
- Product approval does not amount to an endorsement, guarantee or independent security certification.
- Products may depend on third-party services, frameworks, hosting, APIs or open-source components that can change or become unavailable.
- We may correct obvious errors, withdraw a listing, restrict access or suspend delivery where fraud, security, legal or technical concerns arise.
6. Orders, pricing, taxes and payment
- Displayed prices and currency apply at checkout, together with any disclosed taxes or charges.
- An order is accepted when payment is successfully verified and the order is marked paid.
- We may reject, cancel or hold an order for suspected fraud, sanctions concerns, pricing errors, duplicate transactions or legal restrictions.
- Buyers are responsible for taxes imposed on their purchases unless applicable law requires CodeElveza or the seller to collect them.
7. Software licences
Payment purchases a licence to use a product; it does not transfer copyright or ownership. The selected licence, product-specific terms and Software Licence Policy define the permitted number of projects, users, installations, clients and commercial uses. No resale, redistribution, sublicensing, source-code publication or competing marketplace listing is permitted unless expressly authorised.
8. Downloads, updates and support
Download access, update access and support periods are governed by the order, licence, product page and Product Support Policy. You must maintain your own secure backups. We may apply reasonable download limits and security checks to prevent abuse.
9. Reviews and community content
- Reviews must reflect genuine experience and must not be purchased, manipulated, abusive, defamatory or misleading.
- You grant CodeElveza a non-exclusive licence to display and moderate content you submit to the marketplace.
- We may remove content that violates policy, privacy, intellectual-property rights or applicable law.
10. Prohibited use
You must comply with the Acceptable Use Policy. In particular, you must not distribute malicious or infringing software, bypass security controls, manipulate sales or reviews, misuse payment systems, scrape restricted data, impersonate another person or interfere with platform availability.
11. Intellectual property
CodeElveza branding, website code, interfaces, documentation and original platform content belong to CodeElveza or its licensors. Seller products remain owned by their respective rights holders. Reporting and handling of alleged infringement is governed by the Copyright and Takedown Policy.
12. Suspension and termination
We may restrict, suspend or terminate accounts, products, orders, payouts, downloads or access where reasonably necessary to investigate or address policy breaches, fraud, security risks, legal obligations, chargebacks or harm to users. Where appropriate, we will provide notice and an opportunity to respond. You may stop using the platform at any time, but accrued payment, licence, tax, confidentiality, dispute and liability obligations survive.
13. Disclaimers
CodeElveza is provided on an “as available” basis. To the maximum extent permitted by law, we do not promise uninterrupted operation, error-free software, universal compatibility, future updates or fitness for an undisclosed purpose. Nothing in these Terms excludes warranties, remedies or liabilities that cannot lawfully be excluded.
14. Limitation of liability
To the maximum extent permitted by applicable law, CodeElveza is not liable for indirect, incidental, special, punitive or consequential loss, loss of profit, data, goodwill or business opportunity arising from the platform or a seller product. Where liability may lawfully be limited, CodeElveza’s aggregate liability relating to a transaction will not exceed the amount of marketplace fees received by CodeElveza for that transaction during the twelve months preceding the claim. This limitation does not apply where prohibited by law, including liability for fraud or wilful misconduct.
15. Indemnity
You agree to reimburse CodeElveza for reasonable losses, claims and costs caused by your unlawful use, material breach, infringement, seller product or content, except to the extent the loss results from CodeElveza’s own breach, negligence or unlawful conduct.
16. Governing law and disputes
These Terms are governed by Federal Republic of Nigeria, without overriding mandatory consumer protections that apply in your country. Before filing formal proceedings, contact legal@codeelveza.com and allow a reasonable opportunity for internal resolution. Consumers may also use any competent regulator or dispute mechanism available under applicable law.
17. Changes
We may update these Terms for legal, security, operational or product reasons. Material changes will be announced through the marketplace, email or account notice where reasonably practicable. Continued use after the effective date constitutes acceptance, except where further consent is legally required.
